Solar System Batteries Australia Pty Ltd (trading as SolarSystemBatteries.com.au)

1. Acceptance

1.1 These Terms and Conditions form part of the agreement between Solar System Batteries Australia Pty Ltd (ABN 40 644 925 655) (“Solar System Batteries“, “SSB“, “we“, “our” or “us“) of 1416 Logan Rd, Mount Gravatt QLD 4122, and the customer named in the Quote or Contract (“you” or “your“).

1.2 This Agreement commences when you accept our quotation by:

  • paying the required deposit;
  • accepting the quotation over the telephone;
  • accepting the quotation by email; or
  • signing and returning the quotation by email or post.

1.3 By accepting this Agreement, you agree to pay the required deposit and to comply with these Terms and Conditions.

2. Customer Warranty

You warrant that:

2.1 You are at least 18 years of

2.2 You are either:

  • the registered owner of the Installation Address; or
  • authorised by all registered owners of the Installation Address to enter into this

2.3 You have read, understood and accepted these Terms and Conditions before entering into this Agreement.

3. Payment

3.1 Payments may be made to Solar System Batteries Australia Pty Ltd using any of the following methods:

  • Electronic Funds Transfer (EFT)
  • Bank Cheque
  • Cash
  • Credit Card
  • Any other payment method approved by

Cooling-Off Rights

IMPORTANT NOTICE

You have the right to cancel this Agreement within 10 business days after signing or receiving this Agreement, in accordance with applicable Australian consumer protection legislation.

Please refer to these Terms and Conditions for further details regarding your cancellation rights.

4. Definitions

Unless the context otherwise requires:

Solar System Batteries, SSB, we, our or us means Solar System Batteries Australia Pty Ltd (ABN 40 644 925 655) of 1416 Logan Rd, Mount Gravatt QLD 4122.

Customer, you or your means the person or entity named in the Quote or Contract.

Full System Design means the complete solar PV system design including:

  • proposed roof layout;
  • system orientation;
  • panel tilt;
  • expected system performance;
  • site-specific performance estimates; and
  • any supporting technical documentation supplied with this

Installation Address means the property where the System will be installed.

PV means Photovoltaic.

STCs means Small-scale Technology Certificates created under the Australian Government’s Renewable Energy Target Scheme.

STC Financial Incentive means the value of STCs applied to reduce the purchase price of the System.

Solar PV System means the solar power system and associated equipment specified in the Quote, including any inverter, battery storage system, mounting equipment and electrical components where applicable.

5. Our Obligations

5.1 Solar System Batteries Australia Pty Ltd will arrange for the supply and installation of the Solar PV System described in your Quote at the Installation Address.

5.2 We will engage appropriately licensed and SAA Accredited installers and designers (or any accreditation required under applicable laws and industry standards) to design and install your Solar PV System.

5.3 We will use reasonable care and skill in supplying and arranging installation of your System in accordance with:

  • Australian Standards;
  • applicable legislation;
  • manufacturer requirements; and
  • industry best

5.4 We will provide the documentation required under the New Energy Tech Consumer Code (NETCC) and applicable Australian laws.

5.5 We will make reasonable efforts to complete the installation within the agreed timeframe, subject to weather conditions, supplier availability, grid approvals and other circumstances beyond our reasonable control.

6. Your Obligations

6.1 You agree to pay the Balance Due on or before the installation date, unless otherwise agreed in writing.

6.2 You assign all rights to create and claim any Small-scale Technology Certificates (STCs) relating to the Solar PV System to Solar System Batteries Australia Pty Ltd or its nominated agent.

6.3 You are responsible for any costs associated with upgrading, modifying or replacing your electricity meter where required by your electricity distributor or retailer.

6.4 If the Balance Due is not paid in full on the installation date, you agree to pay:

  • the outstanding balance;
  • an administration fee of $250; and
  • any reasonable costs incurred by Solar System Batteries Australia Pty Ltd, including debt recovery and legal costs.

6.5 Interest may be charged on overdue amounts at 10% per annum, calculated daily from the due date until payment is received in full.

7. Price Changes

7.1 Subject to Clause 8, Solar System Batteries Australia Pty Ltd may adjust the Contract Price where additional costs are identified during the site inspection or prior to installation.

Examples include, but are not limited to:

  • electrical upgrades;
  • switchboard upgrades;
  • meter upgrades;
  • additional cabling;
  • roof safety requirements;
  • difficult roof access;
  • additional mounting requirements;
  • engineering requirements; or
  • distributor compliance

7.2 Any increase in price will only occur where:

a) you are advised of the additional costs; and

b) you provide written approval before the additional work is undertaken.

7.3 The Contract Price has been calculated based on your eligibility to receive the applicable STC Financial Incentive.

if:

  • STCs are reduced;
  • government incentives change;
  • you are not eligible; or
  • STCs cannot be assigned to Solar System Batteries Australia Pty Ltd,

you agree to pay the additional amount representing the value of those STCs or incentives.

7.4 Where additional work is required before installation can proceed, you agree to arrange and pay for that work unless otherwise agreed in writing.

 

8. Termination

8.1 Solar System Batteries Australia Pty Ltd may terminate this Agreement if changes to Commonwealth, State or Territory legislation prevent the lawful installation of the System.

If this occurs, all monies paid by you will be refunded in full.

8.2 Either party may terminate this Agreement where:

  • additional site costs are identified;
  • you do not accept the revised quotation; and
  • no agreement can be

8.3 You may cancel this Agreement during the applicable cooling-off period and receive a full refund of your deposit.

9. Refunds

You will be entitled to a full refund of monies paid where:

9.1 The final system design differs materially from the accepted quotation and you do not approve the revised design.

9.2 The Site-Specific Full System Design and Performance Estimate are not provided before the expiry of the cooling-off period and you choose not to proceed after receiving them.

9.3 Solar System Batteries Australia Pty Ltd has not installed the System within four (4) weeks of the original Target Date and you elect not to accept a revised installation date.

9.4 Grid connection approval cannot be obtained before

9.5 The quoted equipment is unavailable and you do not agree to an equivalent substitute

9.6 Any refund approved under this Agreement will be processed within a reasonable timeframe using the original payment method where practicable.

10. Delivery and Installation

10.1 Solar System Batteries Australia Pty Ltd will use reasonable efforts to deliver and install the System on the agreed installation date.

10.2 You must provide safe and unrestricted access to the Installation Address for:

  • site inspections;
  • delivery of equipment;
  • installation;
  • commissioning;
  • testing; and
  • any warranty

10.3 Solar System Batteries Australia Pty Ltd or its authorised contractors will arrange the necessary network connection and submit the required documentation to the relevant electricity distributor where this forms part of the quoted services.

10.4 You remain responsible for maintaining an active electricity account with your electricity retailer and for any charges imposed by your electricity distributor or retailer that are outside the scope of this Agreement.

10.5 Installation dates are estimates only and may change due to circumstances beyond our reasonable control, including:

  • severe weather;
  • supply chain delays;
  • manufacturer shortages;
  • distributor approval delays;
  • safety concerns;
  • site conditions;
  • equipment availability; or
  • other unforeseen Events

10.6 We will notify you as soon as reasonably practicable if the installation date needs to be

11. Target Date

11.1 Solar System Batteries Australia Pty Ltd will use reasonable endeavours to deliver and install the Solar PV System at the Installation Address on the agreed Target Date.

11.2 The Target Date is an estimate only and may change where delays occur due to circumstances beyond our reasonable control, including but not limited to:

a) you do not promptly sign and return this Agreement or provide the information required to proceed;

b) delays in obtaining approvals from the electricity distributor, electricity retailer, local council, or any other relevant authority;

c) adverse weather conditions;

d) manufacturer or supplier delays;

e) equipment shortages;

f) site access issues;

g) safety concerns;

h) industrial action;

i) pandemics or public health emergencies; or

j) any other unforeseen event beyond our reasonable

11.3 If the Solar PV System has not been installed within four (4) weeks after the original Target Date, you may elect to:

a) accept a revised installation date; or

b) terminate this Agreement and receive a full refund in accordance with Clause

11.4 We will notify you as soon as reasonably practicable if the Target Date

12. Warranty

12.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to:

  • a replacement or refund for a major failure;
  • compensation for any reasonably foreseeable loss or damage; and
  • have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.

12.2 In addition to your rights under the Australian Consumer Law, Solar System Batteries Australia Pty Ltd warrants that, for a period of five (5) years from the date of installation, the workmanship relating to the installation of your Solar PV System will:

  • be carried out with due care and skill;
  • comply with applicable Australian Standards;
  • comply with the approved system design; and
  • be free from defects in

12.3 Product warranties provided by manufacturers (including but not limited to solar panels, inverters, batteries, mounting systems and electrical components) remain the responsibility of the respective manufacturer and are provided in addition to your rights under this

12.4 Except to the extent required by law, including the Competition and Consumer Act 2010 (Cth), Solar System Batteries Australia Pty Ltd excludes all warranties and representations not expressly stated in this Agreement.

12.5 To the maximum extent permitted by law, Solar System Batteries Australia Pty Ltd will not be liable for:

  • indirect loss;
  • consequential loss;
  • loss of profits;
  • loss of anticipated savings; or
  • any claim exceeding the purchase price of the defective goods or

Nothing in this clause limits or excludes any rights that cannot lawfully be excluded under the Australian Consumer Law.

12.6 This workmanship warranty does not apply where the System has been affected by:

a) lightning;

b) power surges;

c) flood;

d) fire;

e) cyclone;

f) hail damage;

g) vermin or animal damage (including possums, rodents or birds);

h) misuse, neglect, abuse or accidental damage;

i) unauthorised alterations or repairs;

j) failure to maintain the System in accordance with the manufacturer’s recommendations;

k) use of unapproved third-party equipment; or

l) any event beyond our reasonable

12.7 Where a warranty claim is accepted, Solar System Batteries Australia Pty Ltd may, at its discretion:

  • repair the defective workmanship;
  • replace the affected component; or
  • arrange for the manufacturer to provide warranty support where

12.8 Any repaired or replacement workmanship supplied under this warranty will be covered for the remainder of the original warranty period.

12.9 This workmanship warranty is provided in addition to, and does not limit, any manufacturer warranty that exceeds five (5) years.

13. Ownership of Goods and Risk

13.1 Ownership of the Solar PV System will pass to you only when:

a) all monies payable under this Agreement have been paid in full;

b) installation has been completed;

c) all required documentation has been completed; and

d) all applicable Small-scale Technology Certificates (STCs) have been validly assigned to Solar System Batteries Australia Pty Ltd or its nominated agent.

13.2 Until ownership passes to you, Solar System Batteries Australia Pty Ltd retains legal ownership of the Solar PV System.

13.3 If payment is not made in accordance with this Agreement, you authorise Solar System Batteries Australia Pty Ltd, or its authorised representatives, to enter the Installation Address (where legally permitted) to recover and remove the Solar PV

13.4 Any costs reasonably incurred in recovering the System may be recoverable from you to the extent permitted by law.

14. New Energy Tech Consumer Code (NETCC)

14.1 Solar System Batteries Australia Pty Ltd is committed to complying with the New Energy Tech Consumer Code (NETCC) and will conduct its business in accordance with the Code’s requirements.

14.2  A copy of the New Energy Tech Consumer Code is available on our website at:

14.3 If there is any inconsistency between this Agreement and the requirements of the NETCC, the provisions of the NETCC will apply to the extent required by law.

15. Entire Agreement

15.1 This Agreement, together with the accepted Quote, Full System Design, any schedules, and any documents expressly incorporated by reference, constitutes the entire agreement between the parties regarding the supply and installation of the Solar PV System.

15.2 This Agreement supersedes all previous negotiations, discussions, representations, understandings and agreements relating to the subject matter of this Agreement.

15.3 No amendment, variation or modification of this Agreement will be effective unless it is in writing and agreed by both parties.

15.4 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Governing Law

16.1 This Agreement is governed by the laws of the State of Queensland,

16.2 Both parties submit to the non-exclusive jurisdiction of the courts of Queensland and any courts entitled to hear appeals from those courts.

17. Licence Numbers

Solar System Batteries Australia Pty Ltd engages appropriately licensed and SAA Accredited designers and installers to perform installation work.

Electrical contractor licence numbers applicable to your installation will be provided on the relevant compliance certificates and installation documentation.

18. Privacy

18.1 Solar System Batteries Australia Pty Ltd collects, stores and uses your personal information for the purposes of:

  • preparing quotations;
  • arranging installation;
  • processing payments;
  • applying for government incentives and rebates;
  • arranging grid connection;
  • providing warranty support;
  • complying with legal obligations; and
  • communicating with you regarding your Solar PV

18.2 We handle your personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy.

19. Force Majeure

19.1 We will not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:

  • severe weather;
  • flooding;
  • bushfires;
  • cyclones;
  • pandemics;
  • government restrictions;
  • industrial disputes;
  • supplier shortages;
  • transport delays;
  • utility outages;
  • acts of God; or
  • any other unforeseen event.

19.2 Where a Force Majeure event occurs, the installation timeframe will be extended for the duration of the delay.

20. Notices

20.1 Any notice required under this Agreement may be given by:

  • email;
  • registered post; or
  • personal

20.2 Notices sent by email will be deemed received on the day of transmission, provided no delivery failure notification is received.

20.3 It is your responsibility to notify us if your contact details

21. Assignment and Subcontracting

21.1 Solar System Batteries Australia Pty Ltd may subcontract any part of the design, supply or installation of the Solar PV System to appropriately qualified and licensed

21.2 We remain responsible for ensuring all subcontracted work complies with this Agreement and applicable Australian Standards.

21.3 You may not assign your rights or obligations under this Agreement without our prior written consent.

22. Electronic Execution

22.1 This Agreement may be executed

22.2 An electronic signature, scanned signature or acceptance by email will be deemed to have the same legal effect as an original handwritten signature.

22.3 Each electronically executed copy together constitutes one binding

23. Australian Consumer Law

23.1 Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy available under the Competition and Consumer Act 2010 (Cth) or any other applicable legislation.

23.2 Where permitted by law, our liability is limited to the remedies available under the Australian Consumer Law.
